HangSmart® Affiliate Program Policy

This Affiliate Program Policy (“Policy”) governs participation in the HangSmart® Affiliate Program (“Program”) operated by JTLE Investments LLC (“HangSmart,” “we,” “us,” or “our”). By applying to, enrolling in, or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to comply with this Policy and any additional terms presented to you within the UpPromote affiliate platform.

If you do not agree, do not participate in the Program.

1) Program Overview

The Program allows approved Affiliates to earn commissions by promoting HangSmart products through tracked referral links and/or approved coupon codes issued through the UpPromote system. Affiliates may have access to multiple programs (e.g., different commission rates, codes, and discount offers). Each Affiliate is responsible for complying with the specific terms of the program(s) they are accepted into.

HangSmart may approve or reject any application in its sole discretion.

2) Eligibility & Account Requirements

To participate, you must:

• Provide accurate, complete, and current information in your UpPromote portal.
• Maintain a valid PayPal account for payouts (see Section 7).
• Comply with all laws, regulations, and platform rules applicable to your marketing methods (including FTC disclosure requirements and any social platform advertising rules).

You are responsible for all activity conducted through your affiliate account. Do not share your login credentials.

3) Taxes, 1099s, and Legal Compliance

Affiliates are solely responsible for all federal, state, local, and international taxes arising from commissions earned through the Program.

• You must properly complete all tax-related fields and documentation requested in your affiliate portal to comply with U.S. tax requirements, including any forms necessary for 1099 reporting (if applicable).
• HangSmart may withhold payments where required by law or where tax documentation is incomplete, inaccurate, outdated, or not provided.
• HangSmart does not provide tax, legal, or accounting advice. You should consult your professional advisor.

4) Program Terms, Commission Rules & Tracking

• Commissions are earned only on qualifying purchases completed through properly tracked referral links or approved affiliate codes.
• Tracking is managed via UpPromote and is subject to browser settings, cookie restrictions, ad blockers, device switching, or other technical limitations.
• HangSmart reserves the right to determine, in its sole discretion, whether a transaction is valid for commission.

Non-commissionable orders may include (but are not limited to):

• Orders that are cancelled, refunded, charged back, or found to be fraudulent.
• Self-referrals (you purchasing through your own link/code) unless explicitly permitted in writing.
• Orders placed using unapproved discount methods, unauthorized coupon stacking, or deceptive code practices.
• Orders referred through prohibited advertising methods listed in this Policy.

5) Affiliate Coupon Codes & Offer Integrity (Strict)

HangSmart allows Affiliates to use approved coupon codes provided through the UpPromote portal. Affiliates must represent discounts and offers truthfully and exactly as authorized.

You may NOT:

• Create, edit, or present a coupon code as offering a discount different from what the program provides.
• Misstate or exaggerate the value of an offer (e.g., calling a 15% code “25% off,” “BOGO,” “free,” etc.).
• Publish “custom codes” that imply a discount, free shipping, rebates, or special terms that are not approved by HangSmart.
• Encourage customers to manipulate checkout behavior (e.g., “stack this with other codes,” “use this to bypass pricing,” etc.) unless explicitly authorized.

Zero-tolerance enforcement:

If an affiliate enters a program offering (for example) 15% off, and promotes a code as anything other than 15% off, or uses any method to mislead customers about the discount, the affiliate may be permanently removed from the Program.

6) Deceptive Practices, Misrepresentation & Abuse (Withholding + Termination)

HangSmart has a strict policy against deceptive practices and program abuse. We reserve the right to investigate any affiliate activity at any time.

Deceptive practices include, but are not limited to:

• Misrepresenting discount amounts, pricing, shipping terms, return terms, warranty terms, or product capabilities.
• Using misleading countdown timers, fake scarcity, or false claims such as “official partner,” “exclusive deal,” “only today,” “guaranteed delivery,” etc. when not authorized.
• Impersonating HangSmart, claiming affiliation beyond being an affiliate, or using HangSmart branding in a way that confuses customers.
• Using “coupon sites” or posting codes in discount forums if your program prohibits it (or if it causes brand harm).
• Cookie stuffing, forced clicks, link injection, pop-ups that overwrite tracking, or any tactic intended to illegitimately claim commission.
• Generating fake leads, fake orders, or incentivized purchases intended to trigger commissions.
• Purchasing through your own links/codes to earn commission (self-dealing), unless explicitly authorized.
• Any attempt to exploit errors in tracking, pricing, or platform systems.

Our remedies (at our discretion):

If we suspect or determine deceptive practices or abuse, HangSmart may, in its sole discretion:

• Withhold some or all affiliate payouts (including pending payouts) during investigation;
• Reverse commissions associated with abusive activity;
• Disable codes/links and terminate your affiliate account immediately;
• Permanently ban the affiliate from all HangSmart programs;
• Pursue further remedies where permitted by law, including chargebacks, platform reporting, and legal action.

7) Payouts (PayPal Only) & Automation

• All payouts are processed only through PayPal via the UpPromote system.
• Payouts are fully automated based on tracked and approved commissions.
• You are responsible for ensuring your PayPal email and payout details are correct and up to date in your affiliate portal.
• HangSmart is not responsible for lost payouts due to incorrect PayPal information entered by the Affiliate.

HangSmart may apply a holding period for returns, fraud checks, and verification (as set within UpPromote and/or your specific program).

8) FTC Disclosures & Advertising Compliance

Affiliates must clearly disclose the affiliate relationship anywhere an affiliate link or code is posted.

Examples of acceptable disclosure:

• “I may earn a commission if you purchase through my link.”
• “Affiliate link” or “Sponsored / Partner” (where required by platform rules)

Affiliates must comply with:

• FTC endorsement guidelines,
• Local advertising laws,
• Platform-specific rules (Meta, TikTok, YouTube, Google, etc.).

9) Brand Usage Guidelines (HangSmart® IP)

Affiliates may only use HangSmart trademarks, logos, images, videos, or copy provided by HangSmart (or explicitly approved in writing).

You may NOT:

• Use HangSmart logos or trademarks in your social handle, domain name, paid ad account name, or as part of another brand name.
• Create websites or social pages that imitate HangSmart or could confuse customers into thinking you are HangSmart.
• Use altered product images that materially misrepresent HangSmart products.
• Claim you are an employee, official representative, reseller, or authorized dealer unless expressly authorized in writing.

10) Prohibited Marketing Methods

Unless expressly approved in writing, affiliates may not:

• Bid on HangSmart branded terms in paid search ads (e.g., “HangSmart,” “HangSmart TV,” misspellings, or close variations).
• Run ads that direct-link to HangSmart using your affiliate link where prohibited by platform rules.
• Use spam tactics (mass unsolicited emails, automated DMs, comment spam).
• Use toolbars, plugins, or software that injects or replaces tracking links.
• Mislead customers with fake reviews, fabricated testimonials, or inaccurate product claims.

11) Returns, Cancellations & Chargebacks

If an order is refunded, cancelled, charged back, or deemed fraudulent, associated commissions may be reversed. HangSmart may withhold payouts until orders pass the applicable return/refund window or fraud checks.

12) Termination & Modification

HangSmart may suspend or terminate any affiliate account at any time, with or without notice, if we determine you violated this Policy or acted in a way that harms our brand or customers.

HangSmart may modify this Policy at any time by updating this page. Continued participation after updates constitutes acceptance of the revised Policy.

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

Information sharing

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through Leeron@hangsmarttv.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
